PMCF Advises Material Handling Group USA in its Sale to Brightstar Capital Partners
PMCF Investment Banking (“PMCF”) is pleased to announce that it served as the exclusive investment banker to Material Handling Group USA (“MHG” or the “Company”) in its sale to Brightstar Capital Partners (“Brightstar”).
Headquartered in Canton, Michigan, MHG is a technician-led provider of new, used, and rental material handling equipment and aftermarket parts and service. Through its Fraza, Vitan Equipment, Matthai Material Handling, and Buffalo Lift Trucks brands, the Company serves customers across Michigan, New York, and the Mid-Atlantic region. Founded as a single-location repair shop in Detroit in 1938, MHG has grown into an integrated regional platform supporting critical warehousing, logistics, and manufacturing operations.
Brightstar is a middle-market private equity firm focused on control-oriented investments in business services and industrials companies. The investment in MHG is part of Brightstar’s dedicated lower middle market strategy, which partners with founder, family, and entrepreneur-led businesses to support long-term growth.
The partnership provides MHG with resources and operational expertise to support continued organic growth and selective acquisitions while investing in its technician workforce and service capabilities. Roger Runyan will continue to lead the Company as Chief Executive Officer, and he and his management team will retain a meaningful ownership stake. Jonathan Dawley, former President and Chief Executive Officer of KION North America, will serve as Executive Chair.
Roger Runyan, Chief Executive Officer of MHG, commented, “We’ve spent years building MHG into a business our customers and employees can count on, and this partnership gives us the resources to take it to the next level. Brightstar brings real experience with technician-led, service-based businesses like ours, and I’m excited to put that expertise and their resources to work to accelerate our growth.” Mr. Runyan added “Joe Wagner, Grant Dennis, and the rest of the PMCF team were dedicated to understanding our business, and their expertise was invaluable in helping us reach this milestone.”
PMCF served as MHG’s exclusive investment banker, managing the pre-transaction planning, sell-side process and ultimately advising the Company through the closing. Joe Wagner, Managing Director of PMCF, added, “MHG’s success as a full-service material handling platform provides a compelling foundation for growth. We are excited about the partnership with Brightstar and believe its operational experience and resources will help MHG further strengthen its market position and pursue new expansion opportunities.”
The transaction closed in October 2026. Taft Stettinius & Hollister LLP served as legal advisor to MHG.
